Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Filerra, LLC (“Filerra,” “we,” “us”). They govern your access to and use of our websites, applications, and business-filing and compliance services (together, the “Services”). By creating an account or using the Services, you agree to these Terms.
1. The Services
Filerra prepares and submits business formation and compliance documents — such as articles of organization, EIN applications, annual reports, reinstatement applications, and registered-agent designations — to the relevant government agencies based on the information you provide. You are responsible for the accuracy of that information. We act as your agent in submitting filings; we do not select legal structures for you or render an opinion on what is best for your situation.
2. Who you are contracting with
Filerra, LLC is a Florida limited liability company and is the seller of record for every order placed through our websites, including orders that begin on a state-brand site such as FloridaFormed.com. FloridaFormed, LLC is a wholly owned subsidiary of Filerra, LLC and operates as a Florida-specialist entrance to the same services; it is not a separate seller, does not set its own prices, and does not contract with you. Regardless of which site you arrive from, your agreement is with Filerra, LLC, your receipt and card statement will read Filerra, and these Terms govern.
3. Eligibility & your account
You must be at least 18 years old and able to form a binding contract. You agree to provide accurate, current, and complete information, to keep it updated, and to keep your login credentials secure. You are responsible for all activity under your account.
4. Fees, state charges & invoicing
Our service fees are shown before you order. Separately, government agencies charge their own filing fees (“state fees”), which we itemize and pass through to you at cost, without markup — including Florida’s $125 formation fee, its $138.75 annual-report fee, its $400 penalty for annual reports filed after May 1, its $100 reinstatement fee, and its $25 fee for a Statement of Change of Registered Agent. State fees are set by the agencies, may change without notice, and are non-refundable once a filing is submitted. Nothing is charged when you place an order: we email an invoice for your approval, and work begins when it is paid. Where the information you gave us turns out to differ from the state’s record (for example, an annual report that is late, or more delinquent reports than estimated), we correct the order and re-issue the invoice for your approval before anything is paid.
5. Compliance (registered agent) subscription
The Compliance service is an annual subscription billed at $99 per year. When purchased together with a formation filing, the first 12 months are included at no additional charge and the first $99 renewal falls 12 months after your filing date. When purchased for an existing company (an agent change), the first year’s $99 is billed on your initial invoice together with the state’s $25 change fee. The subscription renews automatically each year until cancelled. We email you at least 14 days before every renewal. You may cancel at any time up to the renewal date — by emailing info@filerra.com or calling (866) 794-0007 — at no charge; cancellation takes effect at the end of the paid period, and no further renewals are billed. Florida’s $138.75 annual-report fee is not part of the subscription and is invoiced separately, at cost, in each year a report is due.
6. Registered agent service
Where you purchase registered-agent service, you appoint Filerra, LLC (or, where we say so before you order, a designated fulfillment partner operating under contract with us) as your registered agent at a physical Florida street address, and we consent to that appointment as Florida law requires. During the subscription:
- Mail handling. State mail and other official correspondence delivered to the agent address is scanned and emailed to you the business day it arrives. We retain digital copies for our records and hold or forward originals on request.
- Service of process. Legal process served on us as your agent is scanned and emailed to you the same business day, and we also attempt to reach you by phone, because service of process starts response deadlines. We accept and transmit documents; we do not advise you on how to respond to them.
- Your details. Forwarding depends on the contact details on file. Keeping them current is your responsibility.
If you cancel, or a renewal goes unpaid: service continues to the end of the paid period. After that we may resign as your registered agent by filing the state’s resignation form, after giving you at least 14 days’ written notice. You are responsible for appointing a successor agent; a company without a valid registered agent can be administratively dissolved by the state. Fees for a partial year are not refunded, except as section 8 provides.
Changing agents for an existing company: we prepare the Statement of Change of Registered Agent, provide the required acceptance signature, and file it with the Florida Division of Corporations with its $25 state fee. The change takes effect when the state records it. Your prior agent’s own contract with you is between you and them.
7. Annual report & reinstatement filings
For an annual-report order, we confirm your company’s record with the state, prepare the report from the information you approve, file it, and forward the state’s confirmation. For a reinstatement order, we prepare the reinstatement application and every delinquent annual report the state’s record shows, and file the package. In both cases the state’s decision and timing are its own: filings are typically processed in a few business days, but we do not control or guarantee the state’s turnaround or approval.
8. Refunds
If we have not yet submitted your filing to the state, you may request a refund of Filerra’s service fee. Once a filing has been submitted, government and third-party fees cannot be refunded. We may, at our discretion, refund our portion of a fee where we made an error.
9. Your responsibilities
- Provide truthful, lawful information and use the Services only for lawful purposes.
- Review every document we prepare before it is filed.
- Maintain your own copies of important records.
- Meet obligations that fall outside the Services you purchased (for example, licenses, permits, or taxes).
10. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, Filerra disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that filings will be approved, as approval rests with the government agency, nor that the Services will be uninterrupted or error-free.
11. Limitation of liability
To the fullest extent permitted by law, Filerra and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Services is limited to the amount of Filerra service fees you paid us in the twelve months before the claim arose.
12. Indemnification
You agree to indemnify and hold Filerra harmless from claims, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your content, or your violation of these Terms or applicable law.
13. Changes & termination
We may modify the Services or these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Continued use after changes take effect means you accept them. You may stop using the Services at any time; we may suspend or terminate access for violations of these Terms.
14. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Florida, unless applicable law requires otherwise.
